Terms of Service
These Terms of Service govern access to and use of Kapacia, a service provided by Zolution Pte Ltd ("Zolution", "we", "us", or "our").
1. About Kapacia
Kapacia is an AI-assisted productivity and workflow platform for recording, transcription, summarisation, structured notes, review workflows, exports, and integrations. Kapacia supports human review and workflow management; it does not replace professional judgement.
2. Eligibility and Accounts
Users must use Kapacia lawfully and in accordance with these Terms, applicable contracts, and customer policies. Customers and users are responsible for maintaining the confidentiality of account credentials, managing authorised users, and promptly notifying us of suspected unauthorised access.
3. Consent and Recording Responsibilities
Customers are responsible for obtaining all required consents, notices, and permissions before recording, uploading, transcribing, summarising, or otherwise processing conversations or related materials through Kapacia. Customers must ensure their use of Kapacia complies with applicable laws, professional duties, contractual obligations, and internal policies.
4. Acceptable Use
Customers and users must not:
- use Kapacia for unlawful recording, surveillance, deception, harassment, or other unlawful activity;
- upload or process content without the rights, authority, or consent required to do so;
- bypass, disable, or interfere with security, access controls, usage limits, or service restrictions;
- scrape, crawl, copy, or extract service data except through authorised product features or agreed APIs;
- reverse engineer, decompile, or attempt to derive source code, models, systems, or non-public methods;
- introduce malware, harmful code, excessive load, or abusive automated traffic; or
- use Kapacia in a way that harms the service, other customers, Zolution, or third-party systems.
5. AI Outputs and Review
Kapacia may generate transcripts, summaries, structured notes, suggested follow-ups, classifications, and other AI-assisted outputs. These outputs may be inaccurate, incomplete, or unsuitable for a particular use. Customers and users must review, edit, and verify outputs before relying on them or using them in client, operational, professional, compliance, legal, financial, or business decisions.
6. No Professional Advice
Kapacia is not legal, financial, compliance, medical, investment, tax, accounting, or other professional advice. Customers remain responsible for their own advice, decisions, regulatory obligations, professional duties, client communications, and business outcomes.
7. Customer Data
Customers retain ownership of data, content, recordings, transcripts, files, and outputs they submit to or generate through Kapacia, subject to any rights granted under these Terms or an applicable contract. Zolution may process customer data to provide, secure, support, maintain, and improve Kapacia, and as otherwise permitted by the applicable quotation, order form, subscription page, contract, or law.
8. Fees, Billing, and Taxes
Fees, billing cycles, onboarding charges, usage charges, renewal terms, taxes, and payment requirements are set out in the applicable quotation, order form, invoice, subscription page, or written agreement. Unless stated otherwise, fees are exclusive of applicable taxes, duties, levies, and bank or payment processing fees.
9. Integrations and Third-Party Services
Kapacia may support integrations with third-party systems. Customers are responsible for selecting, authorising, configuring, and using integrations, and for the data shared with third-party systems once an integration is authorised. Third-party services are governed by their own terms, policies, availability, and security practices.
10. Service Availability
We aim to operate Kapacia reliably, but service availability is not guaranteed to be uninterrupted, error-free, or available at all times. Kapacia may be affected by maintenance, updates, usage limits, security measures, third-party providers, network issues, or events outside our reasonable control.
11. Intellectual Property
Kapacia, including its software, interfaces, workflows, designs, documentation, models, methods, trademarks, and service materials, is owned by Zolution Pte Ltd or its licensors. Except for the rights expressly granted to customers, no rights are transferred in Kapacia intellectual property.
12. Disclaimers
To the fullest extent permitted by law, Kapacia is provided on an "as is" and "as available" basis. We do not warrant that Kapacia will meet every customer requirement, produce complete or accurate AI outputs, prevent all data loss or unauthorised access, or ensure any legal, regulatory, financial, compliance, professional, or business outcome.
13. Limitation of Liability
To the fullest extent permitted by law, Zolution Pte Ltd and its directors, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business, data, or anticipated savings. Any aggregate liability will be limited to the amount paid by the customer for Kapacia during the period stated in the applicable contract, or if no period is stated, the three months before the event giving rise to the claim.
14. Suspension and Termination
We may suspend or restrict access to Kapacia where reasonably necessary for security, suspected misuse, non-payment, legal compliance, service integrity, or breach of these Terms or an applicable contract. Termination rights and post-termination handling of data may be further set out in the relevant order form, subscription terms, or written agreement.
15. Governing Law
These Terms are governed by the laws of Singapore. The courts of Singapore will have jurisdiction, subject to any dispute resolution process stated in an applicable written agreement.
